By using our products, you agree to our Terms of Service and Policies.

Sound Off Surveys (SOS) is a community where individuals and organizations can pose multiple choice questions  in a totally safe and secure environment. SOS is solely owned and operated by a private and single developer located in British Columbia, Canada. Note that some services can be hosted outside Canada.

Conditions of Use


These terms govern your access to and use of Sound Off Surveys (SOS) website and services. Our Services are offered subject to your acceptance, without modification, of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, the SOS Privacy Policy), and procedures that may be published from time to time.


You agree that we may automatically upgrade our Services, and the Agreement will apply to any upgrades.

Please read the Agreement carefully before accessing or using our Services. By accessing or using any part of our Services, you agree to become bound by this Agreement. If you do not agree to all the terms of the Agreement, then you may not access or use our Services.


The following terminology applies to these Terms of Service:

  • "Client", "You" and "Your" refers to you, the person accessing the SOS website and accepting the Company's terms of service.
  • "The Company", "Ourselves", "We", "Our" and "Us", refers to our Company.
  • "Party", "Parties", or "Us", refers to both the Client and ourselves, or either the Client or ourselves.
  • "Website" refers to all pages and services offered via the Sound Off Survey site (soundoffsurveys.com) but excludes third party services that it may redirect the user to.
  • "Content" refers to any data you store in SOS' Services and webpages, including any and all survey fields of input, account information, as well as answers posted to surveys.
 

Age Restriction

You must be at least 18 (eighteen) years of age before you can use this website. By using this website, you warrant that you are at least 18 years of age and you may legally adhere to this Agreement. SOS assumes no responsibility for liabilities related to age misrepresentation.


User Account

  • Where use of our Services requires an account, you agree to provide us with complete and accurate information when you register for a membership and to keep all the information provided current.
  • You will be solely responsible and liable for any activity that occurs under your account. You are responsible for keeping your account information up-to-date and for keeping your password secure.
  • You are responsible for maintaining the security of your account and any Service related website, or other content. You are also fully responsible for all activities that occur under your account and any other actions taken in connection with our Services.
  • You shall not share or misuse your account credentials and access to the website.
  • You must immediately notify us of any unauthorized uses of your account, store, or website, or of any other breach of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.


Acceptable Use

As an account owner, you must follow our Acceptable Use Policy by refraining to engage in the following activities. Failure to adhere to our Acceptable Use Policy will result in your account suspension or termination at our discretion.


  • Illegal or Fraudulent Use
  • Spam generation
  • Identity Theft
  • Hate Content, Defamation, and Libel
  • Dissemination of malware and exploits
  • Sexual content
  • Account automation (BOT Creation or execution)


Website Access

SOS reserves the right to refuse, suspend or terminate your access to our website and services if it determines, in its sole discretion, that you have in any way violated these Terms of Use or are otherwise ineligible to access the website services. We will try to remediate any violation by working with you individually, but we are under no obligation to do so, and if any such remediation efforts are unsuccessful, we may revoke your rights to our site and/or services immediately and without further warning.

We make every effort to make the website and services available 24/7/365, but from time-to-time we may have to schedule downtime for maintenance purposes or other unforeseen events. Where feasible, we may, in our sole discretion, make efforts to inform you about upcoming outages, though we are under no obligation to do so, and in any case will not be liable for any downtime.

Furthermore, we are not responsible or liable for downtime incurred by third party services that SOS may rely on for availability.


Cookies

SOS does not use or rely on any cookie technology. No local data is stored via the use of any cookies. This is to ensure complete privacy, prevent trackability of your activity and for general website security.

We may in the future enable the use of cookies but we will not do so without proper notification.


Responsibilities of Visitors and Users

The system contains checks against certain misuses and we make reasonable attempts at enforcing our policies against misuse. However, we cannot review all of the content posted to our Services continually by users or anyone else and are not responsible for any use or effects of such Content.

We do not endorse any Content or represent that Content is accurate, useful, or non-harmful. We do not accept responsibility for Content that could be found offensive, indecent, objectionable, include technical inaccuracies, typographical mistakes or other errors, violate or infringe privacy or publicity rights, intellectual property rights (see our Copyright Infringement and DMCA Policy section), or other proprietary rights of third parties.

If you post Content, participate in the website Content, or otherwise make (or allow any third party to make) Content available on our Services, you are entirely responsible for the Content, and any harm resulting from that Content or your conduct. You agree to indemnify and defend us against all claims arising out of or based upon Content created by you.

We disclaim any responsibility for any harm resulting from anyone’s use, purchase, or downloading of Content. If you access or use any Content, you are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content.






Fees, Payments and Renewals

Fees for Paid Services
Some of our Services are offered for a fee. By using a Paid Service, you agree to pay the specified fees and fees associated with specific features. Our current membership model only incurs one-time payments. In the future, we reserve the right to introduce recurring payments for other, newer Paid Services. For recurring fees, we’ll bill or charge you for in regular automatically-renewing intervals (such as monthly, annually, or biennially), on a pre-pay basis until you cancel, which you can do at any time by contacting the support service.

Payment
If your payment fails or if Paid Services are otherwise not paid for or paid for on time, we may immediately cancel or revoke your access to the Paid Services. If you contact your bank or credit card company to decline or reverse the charge of fees for Paid Services, we may revoke your access to our Services in general.
You are solely responsible for ensuring that your payment obligations and information, if any, remain current and not in arrears.

Fee Changes
We may change our fees at any time, or start charging fees for Services that were previously free. When applicable, we will give you advance notice of the fee changes.

Refunds
Generally, we have a "no refund policy", all one-time payments are final. While you may cancel a membership at any time by contacting the Support Service, refunds are issued at our sole discretion (upon request to our support services) unless otherwise required by applicable law.


General Representation and Warranty

You represent and warrant that your use of our Services will be in strict accordance with these Terms:


  • will comply with all applicable laws and regulations (including, without limitation, all applicable laws regarding online conduct and acceptable content, privacy, data protection, the transmission of technical data exported from Canada or the country in which you reside, the use of financial services, notification and consumer protection, unfair competition, and false advertising);
  • will not use the Services for any unlawful purposes, to publish illegal content, or in furtherance of illegal activities;
  • will not infringe or misappropriate the intellectual property rights of any third party;
  • will not overburden our systems, as determined by us in our sole discretion;
  • will not disclose sensitive personal information of others;
  • will not be used to send spam or bulk unsolicited messages;
  • will not interfere with, disrupt, or attack any service or network;
  • will not be used to create, distribute, or enable material that is - or that facilitates or operates in conjunction with - malware, spyware, adware, or other malicious programs or code.


Copyright Infringement

As we ask others to respect our intellectual property rights, we respect the intellectual property rights of others. If you believe that material located on or associated with one of our products or services violates your copyright, please notify us. We will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. We will terminate a visitor’s access to and use of the website if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of our service. In the case of such termination, we will have no obligation to provide a refund of any amounts previously paid to us.


Intellectual Property

This Agreement does not transfer from SOS to you any intellectual property. And all right, title, and interest in and to such property will remain (as between the parties) solely with SOS. Any trademarks, service marks, text, graphics, logos, tools, photographs, images, illustrations, software or source code, audio and video, and animations used in connection with our Services, are trademarks or registered trademarks of SOS. Other trademarks, service marks, graphics, and logos used in connection with our Services may be the trademarks of other third parties. Your use of our Services grants you no right or license to reproduce or otherwise use any SOS or third party trademarks.


Disclaimer

To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our website and the use of this website (including, without limitation, any warranties implied by law in respect of satisfactory quality, fitness for purpose and/or the use of reasonable care and skill). Nothing in this disclaimer will:

  • limit or exclude our or your liability for death or personal injury resulting from negligence;
  • limit or exclude our or your liability for fraud or fraudulent misrepresentation;
  • limit any of our or your liabilities in any way that is not permitted under applicable law; or
  • exclude any of our or your liabilities that may not be excluded under applicable law.

The limitations and exclusions of liability set out in this Section and elsewhere in this disclaimer: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the disclaimer or in relation to the subject matter of this disclaimer, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty.


You will indemnify and hold SOS, its employees, contractors, partners, sponsors, vendors and service providers (including, without limitation, hosting and telecommunications providers) harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of your use and access to its products and services, your violation of this Agreement or your infringement or any third party using your account, of any intellectual property right.


To the maximum extent permitted by law, SOS and its affiliates shall not be liable under contract, tort, strict liability, negligence or any other legal or equitable theory with respect to the product or services (i) for any indirect, incidental, special, consequential or punitive damages, or any loss of data, opportunities, reputation, profits or revenues, or (ii) for any direct damages in excess of one hundred dollars ($100) in the aggregate.



Changes

We periodically review our Services and that means sometimes we have to change the legal terms under which our Services are offered. If we make changes that are material, we will let you know by sending you an email or other communication before the changes take effect. The notice will designate a reasonable period of time after which the new terms will take effect. If you disagree with our changes, then you should stop using our Services within the designated notice period, or once the changes become effective. Your continued use of our Services will be subject to the new terms. However, any dispute that arose before the changes shall be governed by the Terms (including the binding individual arbitration clause) that were in place when the dispute arose.


Jurisdiction and Applicable Law

Except to the extent any applicable law provides otherwise, the Agreement and any access to or use of our Services will be governed by the laws of Canada excluding its conflict of law provisions. The proper venue for any disputes arising out of or relating to the Agreement and any access to or use of our Services will be the courts located in British Columbia, Canada.


Miscellaneous

The Agreement constitutes the entire agreement between SOS and you concerning the subject matter hereof. If any part of the Agreement is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of the Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. You may assign your rights under the Agreement to any party that consents to, and agrees to be bound by, its terms and conditions; SOS may assign its rights under the Agreement without condition. The Agreement will be binding upon and will insure to the benefit of the parties, their successors and permitted assigns.
